These Terms and Conditions (“Terms”) outline the rules and guidelines for accessing and using our website (“Platform”)­­. By utilising our services, you agree to be bound by these Terms.

We encourage you to read them carefully to understand your rights and responsibilities while using our Platform. Your continued use of the services signifies your acceptance of this Agreement.

This Agreement applies to every user of the Platform, ensuring a consistent and secure experience for all.

Chemistry Unlocked reserves the right to modify the Terms at any time by email or posting a notice on the Website. Your access to the Website after the notice is posted indicates acceptance of those changes.

These Terms apply exclusively to personal licences. Any use for institutional or commercial purposes (including use by tutors or schools) requires a separate institutional licence available upon request.

 

 1. Definitions

In these Terms:

  • “Company” means The Unlocked Learning Company Limited.
  • “Bill Payer” means the individual who supplies a valid payment method (credit/debit card) and enters into this contract.
  • “User” means the GCSE student granted access to the service under a valid subscription.
  • “Service” means the subscription-based platform Chemistry Unlocked, including all associated digital content and features.
  • “Content” means all intellectual property made available on the Service, including audio, transcripts, PDFs, worksheets, tests, diagrams, graphics, and related materials.
  • “Licence” means the personal, non-transferable licence granted by the Company to the User under these Terms.
  • “Licence Fee” means subscription licence fee payable by the User to the Company as set out in this Agreement.
  • “Intellectual Property Rights” means (without limitation) any patents, rights to inventions, copyright and related rights, trade-marks and service marks, goodwill and the right to sue for passing off, rights in designs, rights in computer software, database rights, rights to use, in each case whether registered or unregistered and including all applications and rights to apply for and be granted, renewals or extensions of, and rights to claim priority from, such rights and all similar or equivalent rights or forms of protection which subsist or will subsist now or in the future in any part of the world.
  • “Notification” The email/push sent from us to a User.
  • “Website” the website located at www.chemistryunlocked.co.uk

 

2. Service Overview

2.1.  Chemistry Unlocked is a subscription-based platform providing online learning resources aligned with publicly available GCSE Chemistry and Combined Science specifications.

2.2.  The Service includes, but is not limited to:

  1. i) streaming narrated teaching audio episodes;
  2. ii) viewing and downloading professionally prepared transcripts and worksheets in pdf format;

iii)  access to online multiple-choice self-marking assessments; and

  1. iv) other interactive or educational features added during the subscription term.

2.3.  Content is designed to support GCSE students preparing for AQA examinations but is provided independently of AQA and is not affiliated with, endorsed by, or connected to AQA.

 

3. Acceptance of Agreement

3.1.  This Agreement becomes effective on the date you click the “I Accept” button or when you access our services. By clicking “I Accept” or by accessing or using the Platform, you: 

  1. i) Acknowledge that you have read, understood, and agree to be bound by the terms of this Agreement; 
  2. ii) Represent and warrant that you have the legal right, authority, and capacity to enter into this Agreement. If you are entering into this Agreement on behalf of an entity, you further confirm that you have the authority to bind that entity to these terms; and 

iii) Accept this Agreement on your own behalf or on behalf of the entity you represent, acknowledging that you or the entity, as applicable, are legally bound by its terms. 

 

4. Eligibility

4.1.  By agreeing to these Terms, you represent and warrant to us: (i) that you have not previously been suspended or removed from the Service; (ii) that your registration and your use of the Service is in compliance with any and all applicable laws and regulations; and (iii) that all registration information you submit is accurate and truthful.

 

5. User Accounts and Registration

5.1.  To access the service, you must register for an account. When you register for an account, you may be required to provide us with some information about yourself (you can check our Privacy Policy document). You agree that the information you provide to us is accurate and that you will keep it accurate and up-to-date at all times.

5.2.  You are solely responsible for maintaining the confidentiality of your account and password. You agree to accept responsibility for all activities that occur under your account.

5.3.  If you have reason to believe that your account is no longer secure, then you must immediately notify us.

 

6. General Restrictions

6.1.  You represent, warrant, and agree that you will not use the Website, interact with the Services, in a manner that:

  1. i) Infringes or violates the intellectual property rights or any other rights of anyone else;
  2. ii) Violates any law, UK regulation, international law, including, without limitation;

iii) Is harmful, fraudulent, deceptive, threatening, harassing, defamatory, obscene, or otherwise objectionable;

  1. iv) Jeopardises the security of your Chemistry Unlocked account or anyone else’s (such as allowing someone else to log in to the Services as you);
  2. v) Attempts, in any manner, to obtain the password, account, or other security information from any other user;
  3. vi) Violates the security of any computer network, or cracks any passwords or security encryption codes;

vii)  Runs Mail list, Listserv, any form of auto-responder or “spam” on the Services, or any processes that run or are activated while you are not logged into the Services, or that otherwise interfere with the proper working of the Services;

viii) “Crawls,” “scrapes,” or “spiders” any page, data, or portion of or relating to the Services);

  1. ix) Copies or stores any significant portion of the Content;
  2. x) Decompiles, reverse engineers, or otherwise attempts to obtain the source code or underlying ideas or information of or relating to the Services.

 

7. Service Access & Licence Grant

7.1.  Subject to payment of the applicable Licence Fee, the Company grants the User a personal, non-exclusive, non-transferable, revocable licence to access the Content via the Service for the duration of the subscription.

7.2.  The Service includes:

(i)     Streaming narrated audio lessons.

(ii)   Online access to transcripts, diagrams, and worksheets in PDF format.

(iii)  The ability to download and print PDF materials for personal use only.

(iv)  Access to interactive tools, including multiple-choice tests and other features introduced during the Licence term.

7.3.  Content is accessible worldwide, subject to internet availability. The Company will endeavour to provide 24/7 access but reserves the right to suspend or interrupt the Service for scheduled maintenance, updates, or emergencies.

 

8. Restrictions on Use

8.1.  The Licence is granted solely for personal, non-commercial educational use. Any commercial use—including, without limitation, paid tutoring, classroom teaching, or institutional instruction—is strictly prohibited unless expressly authorised under a separate institutional licence.

8.2.  The User must not:

  1. i) Share accounts, passwords, or content with others.
  2. ii) Copy, reproduce, or distribute the content beyond permitted personal use.

iii)  Use automated systems or malicious activities to interfere with the Service.

8.3.  Any unauthorised use may result in immediate termination of the Licence without refund and may give rise to civil or criminal liability.

 

9. Subscription Term & Renewal

9.1.  A personal subscription begins on the date of successful payment and continues for 12 months (364 days).

9.2.  Subscriptions automatically renew on the anniversary of the start date, unless cancelled by the Bill Payer before renewal.

9.3.  Cancellation & Refunds:

  1. i) Subscriptions may be cancelled within 14 days of purchase or renewal for a full refund in accordance with UK consumer law (Consumer Contracts Regulations 2013).
  2. ii) After the 14-day cooling-off period, cancellations are effective immediately but no refunds will be issued.

 

10. Suspension of Service

10.1. If we are unable to collect payment for an approved charge within the agreed terms, whether the form of payment is by credit card or other means, access to your account may be suspended or the account may be terminated.

 

11. Intellectual Property

11.1. As between You and Chemistry Unlocked, we own or licence all data, content, graphics, audio clips, video clips, presentations, forms, artwork, images, photographs, functional components, and any documentation and other material on, in, or made available through the products, as well as the selection, coordination, arrangement, organisation, and enhancement of the product materials. All product materials are protected pursuant to copyright, trademark, patent, and other applicable laws. As between any User and Chemistry Unlocked, all names, trademarks, service marks, certification marks, symbols, slogans, or logos (“Trademarks”) appearing on the products are proprietary to Chemistry Unlocked or its affiliates, licensors, or suppliers.

11.2. The User may not copy, distribute, publish, or exploit the content except as expressly permitted under the Licence.

11.3. Upon expiry or cancellation of a subscription, the User must delete/destroy all stored or printed copies of content.

11.4. Users must take reasonable steps to protect the content from misuse, including ensuring it is not shared or distributed to third parties.

 

12. Service Availability

12.1. The Company endeavours to make the Service available 24/7, subject to necessary maintenance, updates, or events outside its control.

12.2. Temporary interruptions may occur for scheduled maintenance, emergency updates, or due to internet/electricity outages, hosting issues, or force majeure events. The Company shall take reasonable steps to minimise disruption but shall not be liable for unavailability outside its reasonable control

 

13. Data Protection & Security

13.1.  The Company processes personal data in compliance with the UK GDPR and the Data Protection Act 2018.

13.2. Data collected may include:

  1. i) bill payer details (name, address, email, and payment details);
  2. ii) User details (name and email address);

iii) account and subscription information; and

  1. iv) technical information required for account functionality and security.

13.3. Data is processed for:

  1. i) providing and managing the Service;
  2. ii) processing payments;

iii) maintaining account security;

  1. iv) contacting the bill payer/User with relevant updates or offers; and
  2. v) complying with legal requirements.

13.4. The Company does not sell or rent personal data. Data may be shared only with trusted service providers (e.g., payment processors, hosting providers) under contractual safeguards.

13.5. Personal data is retained only as long as necessary to fulfil its purpose or as legally required, after which it will be securely deleted or anonymised.

14. Disclaimers

14.1.  The Service is provided “as is.” While the Company takes care to ensure accuracy, no guarantee is given as to the completeness, accuracy, or suitability of content.

14.2. The Company does not guarantee academic results, examination grades, or grade improvements.

14.3. The Company makes no claim of endorsement, affiliation, or partnership with the Assessment and Qualifications Alliance (AQA).

14.4.  The content has been developed independently by qualified teachers.

14.5.  Any references to AQA specifications, exams, or mark schemes are based on publicly available materials.

14.6.  The Service is not authorised, approved, or endorsed by AQA.

14.7.  The Company disclaims all liability for:

  1. i) Product defects originating from third-party platforms (e.g., internet service providers, hosting providers).
  2. ii) Service interruptions caused by maintenance, upgrades, security incidents, or force majeure events.

iii) Third-party intellectual property referenced or linked within the content.

 

Limitation of Liability

15.1. Chemistry Unlocked disclaims all warranties, express or implied regard to this service. Chemistry Unlocked does not make representations of any kind or warranties available to you through the platform. 

15.2. No oral advice or written information given by Chemistry Unlocked or any of its affiliates, employees, officers, directors, agents, or the like will create a warranty.

15.3. Without limiting the generality of the foregoing: (a) Chemistry Unlocked has no obligation to indemnify or defend you against claims related to infringement of intellectual property; (b) Chemistry Unlocked does not represent or warrant that the system will perform without interruption or error; (c) Chemistry Unlocked does not represent or warrant that the system is secure from hacking or other unauthorised intrusion or that your content will remain private or secure; and (d) Chemistry Unlocked disclaims any representation or warranty concerning products or services provided by other users of the platform or other third parties.

15.4. Except as required by law, the Company’s liability to any Bill Payer or User is limited to the total subscription fees paid in the preceding 12 months.

15.5. The Company is not liable for indirect, incidental, or consequential damages, including lost opportunities, business interruption, or exam outcomes.

 

16. Termination

16.1. The Company may suspend or terminate any account without refund if:

  1. i) The User breaches these Terms.
  2. ii) Malicious or unauthorised use of the Service is detected.

16.2. The Bill Payer remains responsible for any damage or loss suffered by the Company as a result of misuse of the Service.

 

Cookies

17.1. Chemistry Unlocked uses “Cookies” to identify the areas of our website that you have visited.

17.2. A Cookie is a small piece of data stored on your computer or mobile device by your web browser.

17.3. We use Cookies to personalise the content that you see on our website. Most web browsers can be set to disable the use of Cookies. However, if you disable Cookies, you may not be able to access functionality on our website correctly or at all.

17.4. We never place Personally Identifiable Information in Cookies.

17.5. By using our website, registering an account, or making a purchase, you consent to the fact that we use cookies.

 

18. Severability

18.1. If any provision of these Terms is held to be unlawful, void, or for any reason unenforceable, then that provision will be limited or eliminated from these Terms to the minimum extent necessary and will not affect the validity and enforceability of any remaining provisions.

 

19. Governing Law

19.1. These Terms are governed by and construed in accordance with the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
